Making sure I am doing it right from Tokyo to Osaka...
-Purchase a 7 day National Pass, which includes the fare for Narita Express
-Exchange ticket at Narita
-The JP Pass allows me to take the Narita Express to Shinagawa
-Stay one night
-Take JR to Osaka
-Take JR to visit Kyoto/Nara
-Take JR back to Shinagawa
-Stay one night
-Take Narita Express at Shinagawa to Narita (Plane leaves at 10am. Plan to take the 6am NEX)
Questions:
Does JR Pass NEX fare?
Does NEX stop at Shinagawa? Is Shinagawa Prince Hotel close by within walking distance?

Yes you can take the N'Ex with the Pass. Shinagawa is fine (but check each trains stops). See the official page:

The hotel is across the street from the station.
